Terms of Use and Liability Disclaimer

1. Acceptance of Terms: By using Droidcure™ (“the Product”), you agree to these Terms of Use. If you do not agree, do not use the Product.
2. Product Purpose and Use: The Product is designed to assist in controlling humidity levels in ≤ 20-gallon totes & containers. Proper use of the Product requires adherence to all instructions provided in the user manual and regular monitoring of your container’s conditions.
3. Limitation of Liability: You acknowledge and agree that:
   1. No Guarantee of Outcome: While the Product is designed to optimize humidity control, environmental factors, operational errors, or misuse of the Product may impact its effectiveness.
   2. User Responsibility: It is your responsibility to monitor your container’s conditions and take appropriate action to protect your plants.
   3. No Liability for Damages: BioVar Technologies LLC shall not be liable for any damages, including but not limited to crop loss, plant death, or economic loss, arising from:
      1. Misuse of the Product.
      2. Failure to monitor or adjust settings as necessary.
      3. Environmental factors beyond the Product’s control.
      4. Any malfunction due to tampering, improper maintenance, or use outside the intended purpose.
4. Warranty Disclaimer:  The Product is provided “as is,” with no express or implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. BioVar Technologies LLC does not guarantee uninterrupted or error-free operation of the Product.
5. Maintenance and Monitoring: Regular maintenance, calibration, and monitoring are essential for proper functioning, as outlined in the user manual. Failure to perform these actions may affect performance, for which BioVar Technologies LLC is not responsible.
6. Indemnification: You agree to indemnify, defend, and hold harmless BioVar Technologies LLC from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use or misuse of the Product.
7. Limitation of Remedies: If the Product is found to be defective, your sole remedy is repair or replacement, at BioVar Technologies LLC’s discretion. BioVar Technologies LLC shall not be liable for any consequential or incidental damages.
8. Governing Law and Dispute Resolution: These terms shall be governed by the laws of the State of Minnesota. Any disputes shall be resolved through binding arbitration in Dakota County, Minnesota.
9. Amendments: BioVar Technologies LLC reserves the right to modify these Terms of Use at any time. Continued use of the Product constitutes acceptance of such changes.
